As set out in our Articles of Association, membership of Embokuye Bright Future CIC is open to those approved by the Directors. Every member is also a Director, giving you a real voice in how we're governed and the decisions we make.
Under our Articles of Association, Embokuye Bright Future CIC operates with a member-led governance model. Each member is also a Director — meaning you don't just belong, you lead.
Our constitution requires that new members must be approved by the Directors and formally apply in writing. Once accepted, members hold equal voting rights on all matters put to a vote, including key decisions that require a special resolution (75% majority).
As a company limited by guarantee, each member's liability is limited to £1 — the amount they undertake to contribute to the company's assets in the event of winding up. This protects members while maintaining a formal legal structure.
Each Director holds one vote at board meetings. No single person can dominate decisions.
All members are Directors and all Directors are members — full democratic accountability.
Prospective members apply in writing with information required by the Directors.
Your financial exposure as a member is limited to £1 — a nominal guarantee, not a real risk.
